Terms of Service

These Terms of Service ("Terms") govern your access to and use of DSAR Suite's website and services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using DSAR Suite (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

DSAR Suite provides a compliance workflow platform designed to help organizations manage Data Subject Access Requests (DSARs) in accordance with PIPEDA, Québec's Law 25, and other applicable privacy regulations. The Service includes: • DSAR intake and tracking functionality • Case management dashboard • Audit trail and logging • Reporting and export capabilities • Related support and training services

3. User Accounts and Responsibilities

When you create an account, you agree to: • Provide accurate, current, and complete information • Maintain the security of your account credentials • Promptly notify us of any unauthorized access • Accept responsibility for all activities under your account You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations.

4. Acceptable Use

You agree not to: • Use the Service for any unlawful purpose • Attempt to gain unauthorized access to any part of the Service • Interfere with or disrupt the Service or servers • Upload malicious code or content • Use the Service to process data in violation of privacy laws • Resell or redistribute the Service without authorization We reserve the right to suspend or terminate access for violations of these terms.

5. Data Processing and Privacy

Your use of the Service to process personal data is governed by: • Our Privacy Policy • Any Data Processing Agreement executed between us • Applicable privacy laws including PIPEDA and Law 25 You remain the data controller for personal data processed through the Service. You are responsible for ensuring you have lawful basis to process such data.

6. Intellectual Property

The Service, including its design, features, and content, is owned by DSAR Suite and protected by intellectual property laws. You retain ownership of any data you upload to the Service. By using the Service, you grant us a limited license to process your data solely to provide the Service. You may not copy, modify, distribute, or reverse engineer any part of the Service without our written consent.

7. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. Support is provided according to your service agreement. Pilot customers receive dedicated support during the pilot period.

8. Fees and Payment

Fees for the Service are as agreed in your service agreement or pilot program terms. • Pilot programs may have specific pricing arrangements • Payment terms are net 30 days unless otherwise agreed • Fees are exclusive of applicable taxes We reserve the right to modify pricing with 30 days' notice.

9. Limitation of Liability

To the maximum extent permitted by law: • The Service is provided "as is" without warranties of any kind • We are not liable for indirect, incidental, or consequential damages • Our total liability is limited to fees paid in the 12 months preceding the claim These limitations do not affect any rights that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify and hold harmless DSAR Suite from claims arising from: • Your use of the Service • Your violation of these Terms • Your violation of any third-party rights • Data you process through the Service

11. Term and Termination

These Terms remain in effect while you use the Service. Either party may terminate: • Pilot programs according to pilot terms • Paid subscriptions with 30 days' written notice • Immediately for material breach Upon termination, your right to use the Service ceases. We will provide data export capability for 30 days following termination.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Québec.
